Neutral Moon Studio LLC Event Terms and Conditions for Collaborations

This agreement between the undersigned company (hereafter “COMPANY”) and the undersigned client, (hereafter “HOST(S)”) governs the assignment (hereafter “STUDIO” “SERVICES(S)” “ATTENDEES” or “EVENT(S)”) described in the accompanying event contract, and along with these Terms and Conditions, constitutes the entire agreement between the parties concerning that assignment.

ENTIRE AGREEMENT: This agreement contains the entire understanding between the COMPANY and the HOST. It supersedes all prior and simultaneous agreements between the parties. The only way to add or change this agreement is to do so in writing, signed by all parties. In the event that any part of this agreement is found to be invalid or unenforceable, the remainder of this agreement shall remain valid and enforceable. Any agreement to waive one or more provisions of this agreement or any failure by one or both parties to enforce a provision of this agreement shall not constitute a waiver of any other portion or provision of this agreement. All correspondence in regard to this agreement will be done by the COMPANY with the CLIENT(S) via one or both of the aforementioned HOST email addresses only. The COMPANY declines any request to discuss this agreement via text message.

RETAINER FEES: A refundable retainer payment of $50 is due at the time of booking. Retainer fees are returned once it has been determined no theft or damage has taken place.

CANCELLATION OF RESERVATION (FORCE MAJEURE): The COMPANY is under no obligation to refund any monies received, balance payment included, due to the aforementioned EVENT being postponed due to reasons including but not limited to weather, injury, illness, death in the family, act of God, act of terrorism, government mandated orders, building closures by building owner/management, or any other cause beyond the control of either the HOST or COMPANY.

COMPLIMENTARY COLLABORATION BOOKING AND DEPOSITS: Approved collaborations include one complimentary hour of studio use. To secure your date and time, a $50 refundable deposit is required at the time of booking. The deposit will be refunded following your event, provided the studio is left in its original condition, no damage has occurred, and all studio policies have been followed.

CANCELLATIONS: Collaborations canceled or rescheduled at least 14 days before the scheduled event are eligible for a full deposit refund. Cancellations or rescheduling requests made within 14 days of the event will result in forfeiture of the $50 deposit.

IN-STUDIO MARKETING AND TICKET SALES: If the HOST elects to utilize the COMPANY's marketing and ticketing services, the HOST agrees to a 60/40 split of ticket sales, with 60% allocated to the HOST and 40% retained by the COMPANY. The COMPANY will be responsible for managing ticket sales and processing guest registrations through its designated booking platform. Ticket sale proceeds will be calculated based on the number of guests officially checked in and in attendance at the event, excluding no-shows and unchecked registrations. The HOST's portion of ticket sales will be paid on the next business day following the conclusion of the event.

STUDIO RESERVATIONS & ARRIVAL: HOST and ATTENDEEs may access the studio at the start time listed on their reservation and must exit the studio by the end time listed on their reservation. HOST may not attempt to access the studio prior to their contracted start time without prior approval and/or early access fee if applicable.

LATE DEPARTURE: Late departure fee is $25 per every 15 minute block entered past the scheduled departure time and will be automatically billed to the credit card on file.

SECURITY DEPOSIT: A security deposit may be required for studio reservations. The security deposit will be returned to the credit card on file once it has been determined that there is no damage or theft of items belonging to the studio at the end of the HOST's reservation.

CLEANLINESS AND DAMAGE: The COMPANY strictly prohibits the HOST from removing any furniture or items from the studio in an attempt to make more space. Placing items owned by the COMPANY in the hallway will incur a fee of $500 and CLIENT may be asked to leave immediately. In case of damage reported by a COMPANY representative or footage from the installed security camera immediately after the HOST has exited the studio, the COMPANY reserves the right to charge the reservation credit card on file for the full $100 security deposit. Failure to leave the studio the way that you found it, or if any stains are found on furniture after HOST departure, will incur an additional cleaning fee of $300. Damage to anything in the studio will result in an automatic charge to the HOST’s credit card on file for the original value of the damaged item when purchased.

SECURITY CAMERA AND SURVEILLANCE: Security cameras are installed in the STUDIO to record all activities inside the STUDIO 24 hours a day. Video footage will be viewed upon discovery of damaged or stolen items, late departure, or causes for concern.

THEFT: In case of theft reported by a COMPANY representative or footage from the installed security camera immediately after the HOST has exited the studio, a police report will be filed.

STUDIO ENTRY AND EXIT: Failure to return the STUDIO key to the lockbox and/or lock the STUDIO properly at the end of the reservation will result in a $100 fine.

VENUE AND LOCATION LIMITATIONS: The COMPANY is limited by the rules and guidelines of the location(s) and building management. The HOST agrees to accept the technical results of their imposition on the COMPANY. Negotiation with the officials for moderation of guidelines is the HOST’s responsibility; the COMPANY will offer technical recommendations only. Animals and pets are not allowed in the location/STUDIO known as 'Neutral Moon Studio' or the location/building known as 'The Koncept House’.

PARKING: HOSTs and ATTENDEEs may park in the designated parking lot associated with the 'Koncept House' property building or anywhere where it is legal to park. HOSTs and ATTENDEEs are strictly prohibited from parking in any parking lot or space associated with surrounding buildings or where any ‘Private Property’ or ‘No Parking’ signs are posted.

SAFETY AND CONDUCT: The COMPANY reserves the right to terminate coverage and ask the HOST to leave the location of the EVENT(S) if the COMPANY experiences inappropriate, threatening, hostile or offensive behavior from any person(s) at the EVENT(S); or in the event that the safety of the COMPANY is in question.
