Neutral Moon Studio LLC Brand Ambassador Terms and Conditions

This agreement between the undersigned company (hereafter “COMPANY”) and the undersigned client, (hereafter “BRAND AMBASSADOR”) governs the assignment (hereafter “STUDIO” “SERVICES(S)” or “EVENT(S)”) described in the accompanying contract, and along with these Terms and Conditions, constitutes the entire agreement between the parties concerning that assignment. By applying to, enrolling in, or participating in the Program, the individual (“BRAND AMBASSADOR”) agrees to be bound by these Terms.

ENTIRE AGREEMENT: This agreement contains the entire understanding between the COMPANY and the BRAND AMBASSADOR. It supersedes all prior and simultaneous agreements between the parties. The only way to add or change this agreement is to do so in writing, signed by all parties. In the event that any part of this agreement is found to be invalid or unenforceable, the remainder of this agreement shall remain valid and enforceable. Any agreement to waive one or more provisions of this agreement or any failure by one or both parties to enforce a provision of this agreement shall not constitute a waiver of any other portion or provision of this agreement. All correspondence in regard to this agreement will be done by the COMPANY with the BRAND AMBASSADOR) via one or both of the aforementioned BRAND AMBASSADOR email addresses only. The COMPANY declines any request to discuss this agreement via text message.

INDEPENDENT RELATIONSHIP: BRAND AMBASSADOR acknowledges and agrees that participation in the Program does not create an employment, contractor, partnership, joint venture, or agency relationship with COMPANY. BRAND AMBASSADOR is not entitled to wages, benefits, or compensation of any kind and is solely responsible for any taxes or obligations arising from participation in the Program.

PROGRAM PARTICIPATION: Participation in the Program is voluntary. BRAND AMBASSADOR agrees to engage with the Program in good faith and understands that participation does not guarantee exposure, compensation, bookings, or future opportunities with COMPANY.

ROLE AND EXPECTATIONS: BRAND AMBASSADOR may, at their discretion, promote or share COMPANY and its studio space through organic, authentic engagement, including but not limited to social media posts, stories, tags, or word-of-mouth referrals. COMPANY does not require minimum posting frequency, content quotas, or specific deliverables unless otherwise agreed in writing.

PERKS AND BENEFITS; Any perks offered to BRAND AMBASSADOR, including but not limited to discounted or complimentary studio hours, event invitations, features, or merchandise, are provided at COMPANY’s discretion and subject to availability. COMPANY reserves the right to modify, suspend, or discontinue any perks at any time without notice.

CONTENT USAGE RIGHTS: By tagging COMPANY or submitting content to COMPANY, BRAND AMBASSADOR grants COMPANY a non-exclusive, royalty-free, worldwide license to repost, share, or otherwise use such content for marketing and promotional purposes, with reasonable attribution where possible. COMPANY agrees not to materially alter content in a misleading manner.

BRAND ALIGNMENT AND CONDUCT: BRAND AMBASSADOR agrees to represent COMPANY in a respectful and professional manner. COMPANY reserves the right to remove any BRAND AMBASSADOR whose conduct, content, or public behavior is deemed inconsistent with COMPANY’s values, brand image, or community standards.

NO GUARANTEE OF EXPOSURE OR COMPENSATION: BRAND AMBASSADOR understands and agrees that participation in the Program does not guarantee social media features, bookings, compensation, or any form of financial remuneration. This Program is not an influencer contract or paid endorsement agreement.

CREATIVE INDEPENDENCE: BRAND AMBASSADOR retains full creative control over their content. COMPANY does not dictate how, when, or whether BRAND AMBASSADOR posts content related to COMPANY, except where otherwise agreed in writing.

NON-EXCLUSIVITY: Participation in the Program is non-exclusive. BRAND AMBASSADOR is free to collaborate with, promote, or represent other brands, including those within the wellness or creative industries, provided such collaborations do not misrepresent affiliation with COMPANY.

ASSUMPTION OF RISK AND LIABILITY: BRAND AMBASSADOR acknowledges that use of COMPANY’s studio space and participation in events or activities involves inherent risks. BRAND AMBASSADOR assumes all responsibility for personal injury, loss, or damage to personal property and releases COMPANY from any related liability to the fullest extent permitted by law.

USE OF COMPANY NAME AND BRANDING: BRAND AMBASSADOR may reference COMPANY organically in content but may not use COMPANY’s name, logo, or branding for paid advertisements, sponsorships, or commercial campaigns without prior written consent from COMPANY.

TERMINATION: COMPANY reserves the right to terminate BRAND AMBASSADOR’s participation in the Program at any time, with or without cause. BRAND AMBASSADOR may withdraw from the Program at any time by discontinuing participation. No compensation or continuation of perks is guaranteed upon termination.

PROGRAM CHANGES: COMPANY reserves the right to modify, suspend, or terminate the Program or these Terms at any time. Continued participation in the Program constitutes acceptance of any updated Terms.

GOVERNING LAW: These Terms shall be governed by and construed in accordance with the laws of the state in which COMPANY operates, without regard to conflict of law principles.

PARKING: BRAND AMBASSADOR and guests may park in the designated parking lot associated with the 'Koncept House' property building or anywhere where it is legal to park. BRAND AMBASSADOR and guests are strictly prohibited from parking in any parking lot or space associated with surrounding buildings or where any ‘Private Property’ or ‘No Parking’ signs are posted.

STUDIO RESERVATIONS: BRAND AMBASSADOR and guests may access the studio at the start time listed on their reservation and must exit the studio by the end time listed on their reservation. Clients may not attempt to access the studio prior to their contracted start time without prior approval and/or early access fee if applicable.

SECURITY DEPOSIT: A $100 security deposit may be required for studio reservations. The security deposit will be returned to the credit card on file once it has been determined that there is no damage or theft of items belonging to the studio at the end of the BRAND AMBASSADOR reservation.

SECURITY CAMERA AND SURVEILLANCE: Security cameras are installed in the STUDIO to record all activities inside the STUDIO 24 hours a day. Video footage will be viewed upon discovery of damaged or stolen items, late depature or causes for concern.

CLEANLINESS AND DAMAGE: In case of damage reported by a COMPANY representative or footage from the installed security camera immediately after the BRAND AMBASSADOR has exited the studio, the COMPANY reserves the right to charge the reservation credit card on file for the full $100 security deposit. Failure to leave the studio the way that you found it, or if any stains are found on the couch, rug, furniture, etc after you leave, will incur an additional cleaning fee of $100. Damage to anything in the studio will result in an automatic charge to the BRAND AMBASSADOR credit card on file for the original value of the damaged item when purchased.

THEFT: In case of theft reported by a COMPANY representative or footage from the installed security camera immediately after the BRAND AMBASSADOR has exited the studio, a police report will be filed.

LATE DEPARTURES: Failure to exit the studio at the scheduled end time without making an official request to a Studio Manager via emai (hello@neutralmoon.com) or text to COMPANY phone number 323-405-4114 for approval will incur a fee of $100 per every 30 minutes BRAND AMBASSADOR stays past the original end time. Interfering with another guest’s reservation start time due to late departure will incur an additional fee of $100 on top of the late departure fee. Arrival and departure times are monitored by security camera.

STUDIO ENTRY AND EXIT: Failure to return the studio key to the lockbox and/or lock the studio properly at the end of the reservation will result in a $100 fine.

VENUE AND LOCATION LIMITATIONS: The COMPANY is limited by the rules and guidelines of the location(s) and building management. The BRAND AMBASSADOR agrees to accept the technical results of their imposition on the COMPANY. Negotiation with the officials for moderation of guidelines is the CLIENT’s responsibility; the COMPANY will offer technical recommendations only. Animals and pets are not allowed in the location/STUDIO known as 'Neutral Moon Studio' or the location/building known as 'The Koncept House'.

SAFETY AND CONDUCT: The COMPANY reserves the right to terminate coverage and ask the BRAND AMBASSADOR to leave the location of the EVENT(S) if the COMPANY experiences inappropriate, threatening, hostile or offensive behavior from any person(s) at the EVENT(S); or in the event that the safety of the COMPANY is in question.
